Description: The IHOP's The LORAX Sweepstakes ("Sweepstakes") begins at 12:00:01 a.m. Pacific Time ("PT") on January 29, 2012 and ends at 11:59:59 p.m. PT on April 1, 2012 ("Sweepstakes Period"). Sweepstakes consists of one (1) random drawing to obtain one (1) winner ("Winner"). The Sweepstakes web site's computer is the official clock for all purposes of this Sweepstakes and all times refer to Pacific Time.

Eligibility: This Sweepstakes is only open to permanent legal residents of the fifty (50) states of the U.S. and D.C., (excluding Guam, Puerto Rico, and all other U.S. territories and possessions), who are physically located therein and who are 18 years or older as of date of entry into the Sweepstakes. Entrants must have either a valid social security number and/or a valid U.S. personal tax identification number to accept the prize. Employees of International House of Pancakes, LLC, ("Sponsor"), IHOP franchisees, Universal Studios ("Prize Provider") and Dr. Seuss Enterprises, LP, Valpak Direct Marketing Systems, Inc. ("Valpak") and their subsidiaries, affiliates and other parties related to the production and distribution of the motion picture "Dr. Seuss's The LORAX", Sweepstakes Administrator (defined below), advertising or promotion agencies, those involved in the production, development, implementation, or handling of Sweepstakes, any agents acting for the above entities, and their respective parent companies, officers, directors, subsidiaries, affiliates, service providers, prize suppliers, or any other person or entity associated with the Sweepstakes (collectively "Sweepstakes Entities") and members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether related or not, are ineligible to enter Sweepstakes.

To Enter: To enter, access the Sweepstakes web site at www.ihopandthelorax.com ("Web Site") and click on the Sweepstakes link or icon, either of which will take you to the entry form and Sweepstakes home page. Complete and "submit" the entry form ("Entry"). Information required on the entry form consists of: complete first name, complete last name, home address (no P.O. Boxes), daytime telephone number (including area code), date of birth (for eligibility purposes) and valid email address ("Entry Information"). All Entries must be received by 11:59:59 p.m. PT on April 1, 2012. No copies, facsimiles or reproductions of Entries of any kind will be accepted. All required Entry Information must be completed in full, be accurate and valid. The Entry Information must match the information of the entrant that completed the act of physically entering the Sweepstakes. If an entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Limit one (1) entry per person/email address/household per day during the entire Sweepstakes Period. Entries by the same person in excess of the limits stated herein will be disqualified. Proof of submitting an Entry of any kind will not be deemed by Sponsor as proof of receipt or entry into the Sweepstakes. Any attempted form of entry into this Sweepstakes other than as described herein is void. Multiple Entries received from any person beyond the stated limit will void all such additional Entries. Any attempt by an entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, logins or any other methods including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void that entrant's entries and that entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below.

Prize/Odds of Winning: PRIZE: One (1) prize will be awarded consisting of a trip for four (4) days/three (3) nights for Winner and up to three (3) guests ("Guest(s)") to Universal Orlando® Resort in Orlando, Florida. Trip will include round trip coach class air transportation for Winner and Guests from a major commercial airport near Winner's home (as determined by Prize Provider in its sole discretion) to Orlando, FL; three (3) consecutive nights standard hotel accommodation (one room, quadruple occupancy, room and tax only) at a hotel as determined by Prize Provider in its sole discretion; non-exclusive ground transportation to and from airport and hotel in Orlando, FL; and 3-Day/2-Park standard tickets for both Universal Orlando Theme Parks for Winner and up to three (3) Guests. Approximate Retail Value ("ARV") of the Prize is: $4,000. The ARV for the trip may vary depending upon the point of departure, destination, fare fluctuation, and if Winner takes the allotted number of Guests; additional compensation will not be provided if the value of the trip is less than the stated ARV. Trip must be completed within one (1) year of notification of winning and must be booked at least sixty (60) days in advance. Travel and hotel arrangements will be determined by Prize Provider in its sole discretion. A Saturday night stay-over may be required. For a Winner who is a Florida resident, air transportation may be substituted with another method of transportation by Prize Provider in its sole discretion. Park Entrances are subject to cancellation. If Winner is between the ages of eighteen (18) and twenty-one (21), he/she must be accompanied by an adult of at least twenty-one (21) years of age in order to check into the on-site hotel. Trip is subject to air travel and hotel availability, holiday and black-out dates, and all other prize and travel restrictions. Once determined, no change, extension or substitution of trip dates is permitted, except by Sponsor at its sole discretion. Once travel has been confirmed, any cancellation or change fees or restructuring of trip are solely the responsibility of the Winner. If Winner is a resident of a state that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian and such person must be deemed to be one of the allotted Guests. If a Guest is a resident of a state that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian and such parent/legal guardian must be deemed to be one of the allotted Guests. Winner and Guests must take air travel on same travel itinerary. If Winner chooses to take more Guests than allotted in the Prize description, Sponsor is not responsible for arranging or booking such additional travel arrangements and will not be responsible for expenses incurred. If Winner elects to travel or partake in the trip with fewer than the allotted number of Guests, no additional compensation will be awarded. Winner is responsible for all other incidentals/expenses not specifically mentioned as being included, including, but not limited to, baggage fees, additional ground transportation, meals, excursions, gratuities and phone calls. Winner and Guests are solely responsible for providing all necessary government issued photo identification documents (as required by TSA and airport authorities) and will be responsible for obtaining all necessary travel documents. Failure to provide such documents may result in trip cancellation upon airport check in. Winner or his/her Guests must have/present at least one major credit card in good standing in order to check into hotel. The trip restrictions/conditions are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the Affidavit/Release (described below) and/or winner's travel documents. Winner is solely responsible for any and all costs, incidentals, and any other expenses not specifically mentioned as being included, related to acceptance and use of the prize. Prize and prize notification will be mailed/shipped to a street address in the U.S., (including D.C.) only. All federal, state, local and/or income taxes are the sole responsibility of the Winner. Any depictions of the prize are for illustrative purposes only. No cash equivalent for prize will be available. Prize/prize components are not transferable. However, Sponsor may, in its sole discretion, choose to substitute a prize or prize components of equal or greater value due to prize unavailability or for any other reason. In the event that a prize component is not available during the time of the trip for whatever reason (e.g. weather conditions, scheduling issues, etc.), then the remaining elements of the trip will constitute full satisfaction of Sponsor's prize obligation to Winner and no additional compensation will be awarded in lieu thereof. Winner will be issued an IRS Form 1099 from the Sponsor or Sponsor's designee for the total value of the prize won in the calendar year won. The Sweepstakes Administrator is not the supplier or guarantor of the prize or prize elements. ODDS: Odds of winning the prize depend on the number of eligible Entries received.

Drawing: The potential prize winner will be randomly selected from among all eligible Entries received in a drawing to be held on or about April 9, 2012 ("Drawing Date") by the Sweepstakes Administrator, an independent compliance organization. A PARTICIPANT IS NOT A WINNER OF THE PRIZE UNLESS AND UNTIL SPONSOR HAS COMPLETED ITS VERIFICATION OF PARTICIPANT'S ELIGIBILITY AND COMPLIANCE WITH THESE OFFICIAL RULES.

Notification of Winner: The potential prize winner will be notified by telephone and/or email within approximately one (1) week of the Drawing Date. If the potential winner is a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian will be notified instead. If the potential winner cannot be reached within a reasonable time period (as determined by Sponsor), if he/she is found to be ineligible, or if he/she cannot or does not comply with these Official Rules, and/or if his/her prize or prize notification is returned as undeliverable, the potential winner will be disqualified and forfeit all interest in the prize and an alternate potential winner may be selected in a random drawing from among all remaining eligible entries received at Sponsor's sole discretion.

Affidavit/Release: The potential winner (or if a resident of a jurisdiction that deems him/her to be a minor, his /her parent or legal guardian) will be required to sign, execute, have notarized and return the original unmodified Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), and any other documentation that Sponsor and/or Sweepstakes Administrator require (collectively "Affidavit/Release"), within five (5) days after receipt by potential winner or such potential winner may be disqualified and an alternate potential winner for such prize may be selected in a random drawing from among all remaining eligible entries received. If winner is a resident of a state that deems him/her to be a minor, prize will be awarded in the name of his/her parent/legal guardian. By returning the completed Affidavit/Release, the Winner attests to the provisions stated therein, including the accuracy of the information contained therein and compliance with these Official Rules. Guests (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent/legal guardian) will be required to sign, execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that Sponsor and/or Sweepstakes Administrator requires ("Guest Release") within five (5) days after receipt by the potential winner. A minor will not be allowed to participate in any portion of prize travel without being accompanied by his/her parent/legal guardian who executed Guest Release on such Guest's behalf.

General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state, and local laws and regulations (collectively "Rules and Laws"). Once submitted, Entries become the sole property of Sponsor and will not be acknowledged or returned. Any personal information supplied by entrants to Sponsor or its affiliates will be subject to Sponsor's Privacy Policy located at http://www.ihop.com/index.php?option=com_content&task=view&id=40&Itemid=5. Except where prohibited by law and Sponsor's Privacy Policy, entry and/or Winner's (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent/legal guardian) acceptance of a prize constitutes permission for the Sponsor to use Winner's name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes worldwide and in all forms of media (including posting on a web site), in perpetuity, without further notice to or compensation in connection with said Sweepstakes or the prize awarded. Sponsor also has the right to modify, edit, adapt, electronically alter, use, assign and/or dispose of such Entries however it sees fit and for any purpose without any notice or compensation to entrant or any third parties. By submitting the entry form, entrant confirms the accuracy and veracity of the statements and information contained therein. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or tamper with the Sweepstakes will be prosecuted and is not eligible for a prize. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes or any portion(s) thereof and instruct the Sweepstakes Administrator to conduct a drawing and award the prize from among all salvageable eligible Entries received in a manner that is fair and equitable. In case of a dispute over the identity of the entrant who submitted the winning Sweepstakes Entry, the authorized account holder of the email address associated with that Sweepstakes Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Said owner must comply with these Official Rules, be the person who completed the act of entering and, at Sponsor's sole discretion, may be required to provide proof of ownership of the email account.

Disclaimers: Sweepstakes Entities are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit or for Entries that are illegible, late, tampered with, forged, incomplete, misdirected, deleted, damaged, lost, misplaced, stolen, destroyed, or otherwise not in compliance with these Official Rules and such Entries will be disqualified. By entering the Sweepstakes, entrants agree to be bound by the Rules and Laws as well as the decisions of the Sponsor and Sweepstakes Administrator, which are final and binding in all respects. Entrants waive any rights to claim ambiguity with the Rules and Laws and agree the Sweepstakes Entities and their respective shareholders will have no responsibility or liability (including, but not limited to liability for any property loss, damage, personal injury or death) in connection with participation in this Sweepstakes; human error; incorrect or inaccurate transcription of Entry Information; acceptance/possession, use/misuse, and/or defects of a prize or parts thereof; typographical errors in Sweepstakes promotional material; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access Sweepstakes or any web site (including but not limited to the Web Site) or online service via the internet due to hardware or software compatibility problems; any damage to entrant's (or any third person's) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects and/or any other errors or malfunctions, including, but not limited to, cancellations and/or delays or any change by the air carrier(s), lodging facilities, or other company or any other persons providing any components of a prize for the winner due to reasons beyond Sponsor and/or Sweepstakes Entities control, even if caused by the negligence of the Sweepstakes Entities. Entrants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities. Entrants hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize, including express warranties provided exclusively by a prize supplier that are sent along with a prize. Sweepstakes Entities will not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be cause or contributed (1) by any wrongful, negligent or unauthorized act or omission on the part of the prize supplier or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Sponsor, or (3) by any other cause, condition or event whatsoever beyond the control of the Sponsor or it's parents, subsidiaries and affiliated companies. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, war, fire, riot, terrorism, an act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules. Sweepstakes is not sponsored, endorsed or administered by Valpak. Any questions, comments, or complaints regarding the Sweepstakes must be directed to Sponsor or Sponsor's administrator, and not to Valpak.

GOVERNING LAW, JURISDICTION, ARBITRATION: Any controversy or claim arising out of, or relating to (i) the Sweepstakes, (ii) the awarding or redemption of any prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation will be governed by and construed in accordance with the substantive laws of the State of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws. Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability or interpretation will be submitted to final and binding arbitration, to be held in the county of Los Angeles in the state of California, before a single arbitrator, in accordance with California Code of Civil Procedure §§ 1280 et seq. The arbitrator will be selected by mutual agreement of Sponsor and the entrant or entrants bringing forth the controversy or claim (collectively, the "Parties") or, if the Parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute. The arbitration will be a confidential proceeding, closed to the general public. The arbitrator will issue a written opinion stating the essential findings and conclusions upon which the arbitrator's award is based. The Parties will share equally in payment of the arbitrator's fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys' fees and other expenses to the same extent as if the matter were being heard in court). Entrant agrees that his/her claim will be resolved individually, exclusively by arbitration, without resort to any form of class action. Entrant further agrees that any claim/judgment/award in such arbitration will be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Sweepstakes but in no event attorneys' fees; and, under no circumstances, will an entrant be entitled to awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or increased. Should any term of this Section be deemed void, unenforceable or contrary to law, such term will, but only to the extent necessary to bring this Section within the requirements of law, be deemed to be severed from the other terms of these Official Rules, and the remainder of these Official Rules will be given effect as if it had not included the severed term herein. THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
